Welcome to AnytimeCertificate.com ("Anytime Certificate," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, web portal, and related services (collectively, the "Platform").
By creating an account or using the Platform, you agree to these Terms. If you do not agree, you must not access or use Anytime Certificate.
1. Description of Service
AnytimeCertificate.com provides a web-based platform that enables licensed insurance agents to manage policy information and allows insured drivers or businesses to request and generate Certificates of Insurance (COIs) based on that policy data.
We do not:
- Sell, underwrite, or issue insurance policies;
- Act as an insurance agent, broker, or insurer;
- Verify or validate insurance coverage information;
- Guarantee the accuracy or authenticity of any COI generated through the Platform.
Our role is strictly limited to providing technology and communication tools between licensed agents and their insureds.
2. Eligibility
You may use Anytime Certificate only if you:
- Are at least 18 years old;
- Have legal capacity to enter into these Terms; and
- Use the Platform only for legitimate business or professional purposes.
Insurance agents using the Platform must hold an active insurance producer license in their respective state(s).
3. Account Registration
To access the Platform, you must register an account. You agree to:
- Provide accurate and complete information during registration;
- Maintain the confidentiality of your login credentials;
- Be responsible for all activity that occurs under your account; and
- Notify us immediately if you suspect unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or appear fraudulent.
4. Platform Usage
You agree to use Anytime Certificate only for lawful purposes and in accordance with these Terms. You must not:
- Submit false, incomplete, or misleading insurance information;
- Use the Platform to issue fraudulent or unauthorized COIs;
- Access, tamper with, or use non-public areas of the Platform;
- Attempt to copy, modify, reverse-engineer, or resell our software;
- Interfere with the security or integrity of the Platform.
Agents are solely responsible for the accuracy and legality of all insurance data entered into the system.
5. Role and Responsibilities
For Agents:
- You represent that you are duly licensed to issue and manage insurance certificates under applicable law.
- You are solely responsible for verifying the accuracy of any policy and coverage information entered.
- You agree to indemnify and hold harmless Anytime Certificate from any claims arising from inaccurate or unauthorized COIs generated under your account.
For Drivers/Insureds:
- You acknowledge that Anytime Certificate does not issue or verify COIs.
- All insurance questions, corrections, or disputes must be directed to your insurance agent.
- You may not alter or misuse COIs generated through the Platform.
6. Disclaimers
Anytime Certificate provides its Platform "as-is" and "as available."
We make no warranties or guarantees about:
- The accuracy or completeness of any insurance data;
- The acceptance of COIs by third parties;
- The availability or uptime of the Platform;
- The legality of use in your jurisdiction.
We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law:
Anytime Certificate, its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use (or inability to use) the Platform.
Our total aggregate liability for any claim shall not exceed the amount you paid (if any) for using the Platform in the 12 months preceding the claim.
You acknowledge that insurance agents are fully responsible for the content and validity of COIs generated through the Platform.
8. Indemnification
You agree to indemnify, defend, and hold harmless Anytime Certificate and its affiliates, employees, and contractors from any claim, liability, or expense (including attorneys' fees) arising from:
- Your misuse of the Platform;
- Your breach of these Terms; or
- Your inaccurate or unauthorized use of insurance information.
9. Intellectual Property
All content, design, logos, software, and trademarks on AnytimeCertificate.com are owned by or licensed to Anytime Certificate.
You may not copy, modify, distribute, or reproduce any portion of the Platform without prior written consent.
If the Platform incorporates or fills ACORD® forms, you acknowledge that ACORD® is a registered trademark of ACORD Corporation, and you must have the appropriate ACORD license or authorization to use those forms.
10. Privacy and Data Security
Your use of the Platform is subject to our Privacy Policy.
We take reasonable measures to protect your data, but no system is completely secure. By using the Platform, you acknowledge and accept the inherent risks of electronic communication and storage.
You are responsible for securing your login credentials and maintaining confidentiality of client data you upload.
11. Termination
We may suspend or terminate your access to the Platform at any time if:
- You violate these Terms;
- We suspect unauthorized or fraudulent activity; or
- We discontinue the Platform.
Upon termination, you remain responsible for all activities conducted before termination and any continuing obligations under these Terms.
12. Electronic Communications & Consent
By using the Platform, you consent to receive notices, disclosures, and other communications electronically (via email or in-app messages).
You agree that such electronic communications satisfy any legal requirement for written communication.
13. Dispute Resolution, Arbitration, and Jury Waiver
13.1 Binding Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Sacramento, California.
By agreeing to these Terms, you agree that you are required to resolve any claim that you may have against Anytime Certificate on an individual basis in arbitration, as set forth in this Section 13.
13.2 Arbitration Procedures
The arbitration shall be conducted by a single, neutral arbitrator mutually agreed upon by the parties. If the parties cannot agree on an arbitrator within thirty (30) days of the demand for arbitration, either party may petition a court of competent jurisdiction in Sacramento County, California to appoint an arbitrator.
The arbitrator shall apply California substantive law and the California Evidence Code to the proceeding, except that the arbitrator shall not be bound by rules of civil procedure.
The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
13.3 Waiver of Jury Trial
BY ENTERING INTO THESE TERMS, YOU AND ANYTIME CERTIFICATE EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR ANY TRANSACTION CONTEMPLATED HEREBY.
This waiver is knowing, voluntary, and intentional. You acknowledge that you have had the opportunity to consult with legal counsel regarding this waiver.
13.4 Waiver of Class Actions
All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You agree that any arbitration or proceeding shall be limited to the dispute between Anytime Certificate and you individually.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Anytime Certificate. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or consolidated proceeding.
13.5 Exclusive Venue and Jurisdiction
The exclusive venue for any arbitration or legal proceeding permitted under this Section shall be Sacramento County, California. You consent to the personal jurisdiction of the state and federal courts located in Sacramento County, California for any actions not subject to arbitration.
There are no exceptions to this arbitration requirement. All disputes, regardless of type or amount, must be resolved through binding arbitration in Sacramento, California as described in this Section.
13.6 Governing Law
These Terms and any dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.
14. Modifications
We may update these Terms from time to time. We will post the revised version on this page with a new "Effective Date." Continued use of the Platform after changes take effect constitutes your acceptance of the new Terms.
